A. COMPANY INCORPORATION
WHEN INCORPORATING:
· Name Search Form must be filed for the approval of the name of the Company to be incorporated.
· Once the name is approved then the documents below can be filed. If they are to be filed at a later date the name can be reserved for a fee of EC$25.00
NB// Articles of Incorporation Non-Profit Company: Require a letter of approval from the Attorney-General even if it is an external company and the written evidence of such approval must accompany the filed documents. Simply write to the Attorney-General which at the moment is:

· Certificate of Incorporation: Will be issued following the approved filing of two original sets of the completed documents with the prescribed fee EC$200.00.
· Once the registrar receives one original group of documents the articles of incorporation the Certificate of Incorporation will be issued and the other original set of documents will be issued back to the client.
The documents to be filed are:
1. Approved Name Search Form
2. Articles of Incorporation
3. Notice of registered office
4. Notice of Directors
5. Statutory Declaration
6. By-Laws (optional)
NB// The processing of documents takes about 7 working days and carries a filing fee of $200.00.

FILING FEES
1. Subject to these regulations the fees payable under the Act are as follows:
certificate of incorporation – EC$ 200.00
· restoring name of company register - $200.00
· certificate of amendment of articles - $100.00
· certificate of restated articles of incorporation - $100.00
· certificate of amalgamation of two companies - $200.00
· additional company - $100.00
· certificate of continuance - $100.00
· to accompany a prospectus or statement in lieu of prospectus sent to the Registrar - $100.00
· for an exemption under section 144 - $25.00
for an exemption under section 150 and 154 - $25.00
for an uncertified copy of any document or part thereof in addition to the fee for search under subparagraph (m) per page - $1.00
for certification of any document - $25.00
for certificate or certification for which a fee is not provided - $25.00
for search - $20.00
for reservation of name under section 514 -$25.00
for filing any document unrelated to anything for which a fee is:
-provided above - $25.00
-to accompany annual return - $200.00
2. Fees payable in respect of an external company are as follows:
for certificate of registration of a company which had paid the prescribed fee for filing under the former Act - $100.00
for a certificate of registration in any other case - $350.00
to accompany annual return - $200.00
If a fee is paid in respect of an application for exemption and the application is registered, withdrawn or abandoned, no part of the fee is returnable.
METHOD OF PAYMENT
Fees maybe paid by bank draft, Eastern Caribbean Currency or local business cheques.
B. BUSINESS REGISTRATION
When Registering A Business Under The Business Names Act 1989:
Business Registration Form is requested by a letter to the IP Office
• The Office provides the form and the client fills it out and returns it.
• Once it is completed and the name is approved by the Registrar the Business Certificate of Registration will be issued.
• Fee is EC$100.00
• Fees maybe paid by bank draft, Eastern Caribbean Currency or local business cheques.
Business Name
Section 5 : Every person required under this act to be registered must furnish the Registrar with the following particulars in the prescribed form: (these are the particulars of the form supplied by the IP Office).
1. Business name
2. The general nature of the business
3. The principal place of business
4. Where the registration to be effected is that of a firm, all the details of the partners including their Christian names, registered business name, usual place of residence, occupations, nationality and nationality of origin if different, registered place of business of every partner in that firm.
5. Where registration to be effected is that of a corporation, required are the corporate name and the registered or principal place of business.
6. If business is commenced after this act, the date of the commencement of the business.
Where a business is carried under two or more business names, each of those business names must be stated.
