Who can form a company? A company may be formed by any person whom section 4(2) of the Companies Act does not disqualify from involvement in company formation. Section 4(2) disqualifies persons who are under 18 years, bankrupt, or of unsound mind.
In the case where the registration to be effected is that of a firm, submit the Christian name and surname and former Christian name or surname, the nationality, the usual residence, and the other business occupation (if any) of each of the individuals which are partner, and the corporate name and registered or principal office of every corporation which is a partner;
Firstly, to register a Business in Belize, the Belize Companies & Corporate Affairs Registry asks for the individual(s) to present an original valid ID, which could be either a Social Security Card, Voter's ID or a Belizean Passport. They are then asked to fill out the appropriate Forms, which are Forms 1, 2, 3, 6, 9, and 11.
Step 1) Name Search. Before a company is registered, the Registrar will conduct an obligatory name search. The chosen company name must be in compliance with the rules set out in the Companies Act, 1994 and its Regulations, S.R.O. 022-1997. A name search application requires submitting a form to the Registrar. Company names may not include the following words without permission from the Ministry of Legal Affairs, Immigration and Labor:
Certificate of Incorporation: Will be issued following the approved filing of two original sets of the completed documents with the prescribed fee EC$200.00. Once the registrar receives one original group of documents the articles of incorporation the Certificate of Incorporation will be issued and the other original set of documents will be issued back to the client.
